These Terms govern access to and use of SignoffDock, including free trials, paid subscriptions, customer approval links, and related services.

Effective September 22, 2026Version 2026-09-22
Important: By creating an account, checking the acceptance box, or otherwise agreeing electronically, you agree to these Terms and acknowledge the Privacy Policy. If you use SignoffDock for an organization, you represent that you have authority to bind that organization.

1. Who we are

SignoffDock is operated by Guiding Dawn Holdings (“SignoffDock,” “we,” “us,” or “our”). These Terms form an agreement between us and the person or organization using the service (“Customer,” “you,” or “your”).

2. Eligibility and accounts

You must be at least 18 years old and legally capable of entering a contract. You are responsible for accurate registration information, safeguarding account credentials, activity under your account, and promptly notifying us of suspected unauthorized access.

3. The service

SignoffDock provides workflow tools for sending proofs or work packages, collecting approvals or requested changes, recording revisions, reminders, timestamps, approval events, and related records. Features may evolve over time. Beta, preview, or trial features may change or be discontinued.

4. Trials, subscriptions, and billing

Free trials are subject to the limits presented at signup. Paid subscriptions, when enabled, renew according to the selected billing cycle unless cancelled. Taxes may apply. We may change pricing prospectively with reasonable notice. Unless required by law or stated otherwise at purchase, fees already paid are non-refundable.

5. Customer content and data

You retain ownership of files, artwork, proofs, customer information, messages, and other content you submit (“Customer Content”). You grant us a limited, non-exclusive license to host, process, transmit, reproduce, and display Customer Content only as reasonably necessary to operate, secure, support, and improve the service and meet legal obligations.

You are responsible for having the rights and permissions necessary to upload Customer Content and send communications to recipients through SignoffDock.

6. Approvals and electronic records

SignoffDock records actions taken through the service, such as proof views, approvals, requested changes, typed names, comments, timestamps, and related event metadata. These records are intended to support your business workflow. SignoffDock does not guarantee that a particular approval, electronic record, or transaction will satisfy every legal, contractual, regulatory, or evidentiary requirement applicable to your business. You are responsible for determining the approval language and procedures appropriate for your use case.

7. Intellectual property

SignoffDock and its licensors retain all rights in the software, source code, interfaces, designs, workflows, documentation, templates supplied by us, trademarks, service marks, and other platform technology, including improvements and derivative works. No ownership rights are transferred to you.

You may not copy, modify, rent, lease, sell, sublicense, distribute, reverse engineer, decompile, attempt to extract source code, circumvent technical controls, or use the service to build or assist a substantially similar competing service except to the extent such restriction is prohibited by applicable law.

If you provide suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use that feedback without restriction or obligation.

8. Acceptable use

You may not use SignoffDock to violate law; infringe intellectual property or privacy rights; distribute malware or phishing content; send unlawful, deceptive, or abusive communications; probe or compromise security; access another customer’s data without authorization; overload the service; or interfere with service operation.

9. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only to perform or receive the service, except where disclosure is required by law or the information is independently public, already known without duty, or lawfully received from another source.

10. Privacy and security

Our handling of personal information is described in the Privacy Policy. Our current security practices are summarized on the Security page. Our subprocessors are listed on the Subprocessors page.

11. Third-party services

SignoffDock depends on third-party infrastructure and may integrate with third-party services. Those services may be governed by their own terms and privacy practices. We are not responsible for third-party services outside our control.

12. Suspension and termination

You may stop using the service at any time. We may suspend or terminate access for nonpayment, material breach, security risk, unlawful use, or conduct that threatens the service or other users. Where practical, we will provide notice and an opportunity to cure before termination for breach.

13. Disclaimers

To the maximum extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, goodwill, or data, arising from the service. Our aggregate liability arising from the service will not exceed the amounts paid or payable to SignoffDock for the service during the 12 months preceding the event giving rise to the claim. These limits do not apply where prohibited by law.

15. Indemnification

You agree to defend and indemnify SignoffDock and Guiding Dawn Holdings from third-party claims arising from Customer Content, your unlawful use of the service, or your material violation of these Terms, to the extent permitted by law.

16. Changes to these Terms

We may update these Terms. When changes are material, we will provide notice as appropriate and may require you to affirmatively accept the updated version before continued use. The version and effective date appear at the top of this page.

17. Governing law

These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-law principles. Unless applicable law requires otherwise, disputes will be brought in state or federal courts located in Johnson County, Kansas.
